These terms and conditions and the Booking Particulars form the Agreement between (1) The Liverpool Football Club and Athletic Grounds Ltd (“we” or “us”) and you relating to the Event.

Number of Delegates:1.1. Please advise us of the number of delegates attending your Event at the time of booking. 1.2. You may change the number of delegates attending the Event at any time by calling us on 0151 263 7744. Please refer to paragraph 4 below and note that:a) if changes are notified to us more than 14 days before the date of the Event: i. if fewer delegates are to attend, we will retain the Deposit paid in respect of those delegates who are no longer attending the Event; ii. if more delegates are to attend, we require you to pay the Deposit payable in respect of those additional delegates at least 14 days before the date of the Event or at the time of agreeing such additional bookings with us. b) if changes are notified to us less than 14 days before the date of the Event:i. if fewer delegates are to attend, we will retain all amounts paid in respect of those delegates who are no longer attending the Event; ii if more delegates are to attend, we require you to pay the full amount of the Fee payable in respect of those additional delegates at least 14 days before the date of the Event or at the time of agreeing such additional bookings with us.1.3 if the number of delegates changes, we reserve our right to change the function room in which the Event is to be held to accommodate for such changes.Catering:1.4 If catering is required, at least one buffet or meal must be ordered in respect of each delegate attending the Event. Please advise us of any special dietary requirements at the time of booking. If any dietary requirements are notified to us less than 7 days before the Event, we may not be able to cater for such requirements and will not be liable to you for any failure to do so.Event Times:1.5 The Stadium amenities are licensed for the sale of alcohol from 11.00am to 01.00am every day. The Stadium amenities will close for your Event no later than 01.30am and we ask for your cooperation in terms of vacating the premises promptly to ensure our compliance with our premises licence.Conduct of Guests:1.6 You are responsible for ensuring the good and peaceable conduct of your delegates, and in particular you must ensure that:a) no objects of any kinds are thrown (including confetti, streamers or liquid of any kind);b) no inflammable materials are brought onto the club’s premises; andc) no nails or any other fixing devices or substances are driven into or applied to the walls, ceilings or floors upon the club’s premises and we ask you to ensure that you and your guests do not attempt to otherwise hang any sign or banner on display.You will ensure that all persons attending the Event comply with our instructions relating to health and safety.No alcohol may be brought onto our premises. Any gift alcohol will be retained by us for the duration of the Event and returned at the end of the Event.We operate a “Challenge 21” policy.Entertainment:1.7 You may arrange for your own independent entertainment subject to obtaining our prior written consent. In providing such consent, we may ask you provide us with additional information to enable us to accommodate any such request and to conduct any health and safety risk assessment. We reserve our right to refuse consent particularly in circumstances where we deem there to be a health and safety risk that cannot be mitigated or you refuse to cooperate in our request for the provision of such information.Ticket Sales and Marketing: 1.8 You are not entitled to sell tickets to the Event without our prior written consent, which we may withhold in our absolute discretion.Marketing Materials:1.9 You are not entitled to include on any marketing materials you produce in relation to the Event any of our intellectual property, including (but not limited to) our crest or name (i.e. “Liverpool FC” or “LFC”). Any marketing materials you do produce must be approved by us beforehand in writing.

1. The Event

You may book the Event at any time prior to the proposed date, though please be aware that the closer the proposed date is, the less likely it is that your preferred date will be available. 2. Booking the Event

3.1. Deposit:The Deposit listed in the Booking Particulars shall be payable at the time of booking of the Event. All Deposits are non-refundable.3.2. Further instalments: Unless otherwise agreed, the rest of the Fee is payable no less than 14 days before the Event. If you book the Event less than 14 days before the Event, you will be required to pay us the total Fee.3.3.Additional Extras:Please note that if any additional services are required on the day of the Event, you will be notified of any additional charges for these services before they are provided. All charges for additional services are payable within 14 days after the date of the Event.3.4. VAT: All charges are inclusive of VAT which shall be charged at the prevailing rate.

3. Fees and Payment

In addition to our rights under paragraph 2.2, we reserve the right to charge the following cancellation fees if you cancel the Event:a) where you give at least 6 months’ notice of cancellation 25% of the total Fee will be payable;b) where you give at least 3 months’ notice of cancellation 50% of the total Fee will be payable;c) where you give at least 1 months’ notice of cancellation 75% of the total Fee will be payable; andd) where you give less than a months’ notice of cancellation 100% of the total fee will be payable.

4. Cancellation Charges

Cancellation:6.1 If any sum due from you is not paid in time, we may cancel the Event booking. We reserve the right to offset any sums properly due and not paid by the due date for payment by you to us against any Deposit or Fees held by us.Interest:6.2 If you do not make any payment due to us by the due date for payment, we may charge interest to you on the overdue amount at the rate of 3% a year above the base lending rate of Barclays Bank plc from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment.

Consequences of Non-Payment

Cancellation due to fixture change:6.1 We cannot hold any Event on a match day or when any other large event is taking place. We may therefore need to cancel the Event if:<ol><li>a Liverpool FC fixture has been postponed and the rescheduled fixture date falls on the date of the Event; or</li><li>if any other large event is scheduled to take place at Anfield.</li></ol>Cancellation due to safety reasons6.2 We may also cancel the Event for any reason relating to safety, which shall be at the Stadium Operations Director’s absolute discretion.Cancellation due to disorder6.3 We may also cancel the Event at any time if we have reasonable grounds for believing that the Event is likely to be or becomes:<ol><li>disorderly (for example, if large numbers of opposing fans are likely to attend); or</li><li>prejudicial to the premises licence or any other licence relating to the Stadium (for example, if we suspect that underage drinking may occur); or</li><li>a breach of any of these terms; or</li><li>prejudicial to our reputation.</li></ol>Force Majeure6.4. We may also have to cancel an event if a cause arises that is beyond our reasonable control such as but not limited to an act of God, earthquake or other natural disaster, pandemic or epidemic, any law or action taken by a governmental or public authority, collapse of buildings, fire, explosion or accident or any labour or trade dispute (Force Majeure). 6.5 If it becomes necessary to cancel the Event under paragraphs 6.1 (Cancellation due to fixture change), 6.2 (Cancellation due to safety reasons) or 6.4 (Force Majeure) we will try to agree an alternative date for the Event with you. If we are unable to agree a suitable alternative date with you, we will refund to you any Deposit or Fees paid in full.6.6 If we cancel the Event under paragraphs 5.1 (Non-payment) or 6.3 (Cancellation due to disorder), you will not be entitled to a refund of any sums paid to us in respect of the Event.6.7 If we cancel an event because of any of the reasons set out in paragraph 6.1 (Non-payment) or this paragraph 7 we shall not be in breach or otherwise liable for any such failure or delay in the performance of our obligations to you.

6. Cancellation by Us

<a>7.1. Subject to paragraph 7.2 our total liability to you shall be limited to the Fee.</a>7.2. Subject to paragraph 7.3, we will not be liable to you for any of the following types of loss:<ul><li>7.2.1. loss of profits, sales, business, or revenue;</li><li>7.2.2. business interruption;</li><li>7.2.3. loss of anticipated savings;</li><li>7.2.4.loss of business opportunity, goodwill or reputation; or</li><li>7.2.5. any indirect or consequential loss or damage.</li></ul><a>7.3. Nothing</a> in this Terms shall operate to limit our liability for:<ul><li>7.3.1. death or personal injury due to negligence; or</li><li>7.3.2. fraud or fraudulent misrepresentation.</li></ul>

7. Liability

You will indemnify us against all costs, claims, damages, expenses or loss incurred by us in respect of:8.1.1.any damage to the ground, building or fixtures and fittings and any other of our premises; and8.1.2.any liability to any third party in respect of death or personal injury arising out of the use of the amenities except where the same is caused by our negligence.

8. Indemnity 

Assignment We may transfer our rights and obligations under this Agreement to another organisation but this will not affect your rights or our obligations under this Agreement.WaiverIf we fail to insist that you perform any of your obligations under this Agreement, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.SeveranceEach of the paragraphs of this Agreement operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect Data ProtectionWe may collect, use and/or process your personal information to enable us to provide you with the products and services envisaged in this Agreement. Please refer to our Privacy Policy, a copy of which can be found at <a href="http://www.liverpoolfc.com">www.liverpoolfc.com</a> if you have any questions in this regard and for more information on the types of personal data we may collect about you, how we will store and handle that data and keep it safe.Governing Law and JurisdictionThis Agreement is governed by English law. You and we both agree to submit to the non-exclusive jurisdiction of the English courts.
